GENERAL TERMS AND CONDITIONS OF BUSINESS – EMEA – ENCORE

  1. DEFINITIONS AND LAW

1.1. “the Company” shall mean the legal entity identified in the quote

1.2. “the Equipment” shall mean goods, components and other items hired or sold by the Company or any part thereof

1.3. “the Customer” is the person, firm, corporate or public body hiring or purchasing the Equipment. Any person purporting to act on behalf of the Customer shall be bound by the Contract

1.4. “Event” refers to the event for which the Customer is to hire Equipment and/ or services

1.5. “Interest” shall mean interest calculated in accordance with Clause 8.2

1.6. The Contract shall be interpreted and applied in accordance with laws of the country of the Company’s registered office and the parties to this contract agree to submit to the exclusive jurisdiction of those courts

  1. WET HIRE TERMS (FULL SERVICE – EQUIPMENT RENTAL AND LABOUR AND/OR ADDITIONAL SERVICES)

2.1. Charges

2.1.1. Hire charges commence from the date stated in the contract and are payable for the period of hire

2.2. Hire Period

2.2.1. The hiring period commences on the date specified in the Contract and continues for the period specified in the Contract and terminates on the last day of the hiring period at the time stated in the quote

2.3. Customer’s responsibilities

2.3.1. The Customer’s responsibility for the Equipment commences on receipt of the Equipment by the Customer or his agent or on delivery and ends when the Customer is in possession of the Company’s unqualified receipt for the return of all the Equipment

2.3.2. The Customer shall not at any time sell, dispose or otherwise part with control of the Equipment or attempt to do so

2.4. Equipment Specification

2.4.1. All descriptions and specifications, drawings and particulars of weights and dimensions issued by the Company are approximate only and are intended only to present a general idea of the goods to which they refer and shall not form part of the contract. Due to continuing development, the Company reserves the right to change specifications without notice

2.5. Equipment usage

2.5.1. the Company’s personnel, or their duly appointed affiliates, must handle and operate all Equipment.

2.5.2 Equipment may not be operated, moved, stored, or serviced by the Customer or any other party unless authorized by prior written agreement from the Company. The Customer may incur additional charges if Equipment is moved or relocated by unauthorized personnel.

2.5.3 The Customer agrees that the Company shall be permitted free access to the Equipment at any time before, during and/or after the event for purpose of set/strike, maintenance and routine checks.

2.5.4. Labour rates. This estimate, unless specifically indicated, does not include the following items: Crew transportation, lodging and local parking. All overtime labour will be billed at 1.5 times the hourly rate for the position (day rate divided by eight) for hours worked in excess of eight, and 2 times the hourly rate for hours worked in excess of 16 hours. The Company’s employees require a mandatory 11-hour break between work periods.

  1. DRY HIRE TERMS (EQUIPMENT RENTAL ONLY)

3.1. Charges

3.1.1. Hire charges commence from the date stated in the contract and are payable for the period of hire

3.1.2. Equipment must be returned on the date specified in the Contract in a clean and serviceable condition and the Customer must obtain the Company’s receipt

3.1.3. Additional charges accrue at the full daily hire rate together with consequential loss in the event of the breach of these conditions or the Equipment not being available for use by other customers

3.1.4. All cables must be returned coiled and taped and in default a charge per cable will be made

3.1.5. The Company provides spare lamps with Equipment where appropriate. These and any lamps they replace must be returned with the Equipment and in default their full replacement cost will be charged

3.2. Hire Period

3.2.1. The hiring period commences at 7:00am on the date specified in the Contract and continues for the period specified in the Contract and terminates at midnight on the last day of the hiring period, unless specified otherwise in the quote

3.3 Customer’s responsibilities

3.3.1. The Customer’s responsibility for the Equipment commences on receipt of the Equipment by the Customer or his agent or on delivery and ends when the Customer is in possession of the Company’s unqualified receipt for the return of all the Equipment

3.3.2. The Customer shall not at any time sell dispose or otherwise part with control of the Equipment or attempt to do so

3.3.3 The Customer warrants that everyone who uses the Equipment has been properly instructed in its safe and proper operation and will ensure that every user is in possession of necessary instructional material and further will not allow the Equipment to be misused

3.3.4. The Customer will at all times fully indemnify the Company against any expense liability financial loss claim or proceedings whatsoever in respect of any personal injury or damage to or loss of any property arising out of or in connection with the delivery, hire, use, non-use, repossession, collection, return or non-return of the Equipment

3.3.5. Nothing in this clause shall affect the statutory rights of the Customers or purport to exclude any liability which may not be excluded legally.

3.4. Electrical Equipment

3.4.1. Any electrical Equipment should be used with plugs and/or sockets as fitted.

3.4.2. No Equipment shall be modified without prior written consent from the Company

3.4.3. The Customer shall be responsible at all times to arrange a proper supply of electricity for use with the Equipment and ensure that the Equipment shall at all times be properly earthed. Damage to Equipment from incorrectly connected or disrupted supply will be charged.

3.5. Equipment Maintenance and Reporting

3.5.1. The Customer shall ensure that the Equipment remains serviceable and clean during the hire period

3.5.2 Any breakdown or unsatisfactory working of Equipment shall be immediately notified to the Company

3.6. Equipment Maintenance and Reporting

3.6.1. The Customer shall under no circumstances attempt to repair the Equipment without prior authorisation from the Company

3.6.2. Any damaged or unsatisfactory Equipment must be returned to the Company’s premises for examination at the Customer’s cost

3.6.3. If the Equipment is involved in any accident resulting in damage to either the Equipment or other property or injury to any person, the Customer shall notify the Company immediately

3.6.4. Equipment must not be removed from any site originally specified by the Customer or from any subsequently authorised site without prior consent of the Company

3.7. Compatibility of Equipment

3.7.1. The Customer shall ensure that the Equipment is compatible and may safely be used with any other Equipment being used by the Customer

3.7.2. The Customer shall be responsible for ensuring that the Equipment is suitable for their purposes.

3.7.3. The Company reserves the right to supply equipment of a similar design to the Equipment specified.

3.7.4. All descriptions and specifications, drawings and particulars of weights and dimensions issued by the Company are approximate only and are intended only to present a general idea of the goods to which they refer and shall not form part of the contract. Due to continuing development, the Company reserves the right to change specifications without notice.

  1. CONDITIONS APPLICABLE TO BOTH DRY & WET HIRES
  2. 1. Acceptance

Quotes will be valid for a period of 30 days from the date stated. In the event a quote is not accepted, signed and returned to the Company within this period, it will be void and all prices are subject to change.

4.2. Estimate

Quotes are developed based upon information provided by the Customer and are only an estimate of Equipment and services to be provided. In the event the actual amount of Equipment, services, labour and any related merchandise provided in connection with the Event is greater than the amount specified in a quote, the Customer shall be charged for such additional Equipment, services and/or labour, at the Company’s prevailing standard rates. All labour, VAT, transport, shipping /handling, personnel transportation & accommodation, per-diem and electrical charges (if applicable to the Event) are estimated and final amounts will be charged and due upon final invoice.

4.3. Insurance

4.3.1. The Customer agrees to pay the Company the full retail cost of any Equipment lost stolen or damaged beyond economic repair (without deduction for usage wear tear or age)

4.3.2. The Customer shall insure the goods against the above liability

4.3.3. All monies received by the Customer from any insurance company or third party in settlement of any claim shall be held in trust by the Customer and paid to the Company on demand to the extent that any such payment is due under this clause

4.3.4. The Customer shall not compromise or settle any claim without the express consent of the Company

4.3.5. In the case of Equipment which is lost stolen or damaged beyond economic repair the Customer shall pay a charge at the full daily rate together with interest and consequential loss until the Equipment is replaced

4.4. Termination of hire

4.4.1 The Company shall be entitled to terminate the contract with immediate effect and to repossess the Equipment if at any time:
(a) The Customer is in breach of these terms; or
(b) The Customer shall take any steps or if any act or proceeding is commenced in which the Customer’s solvency is in the reasonable view of the Company in doubt.
Such termination shall not affect the right of the Company to recover from the Customer any monies due under this contract interest consequential loss or damages for breach

4.4.2 The Customer hereby authorises the Company to enter upon any property, upon which the Company reasonably believe any Equipment to be held and the Company in their absolute discretion may recover and remove the Equipment

4.4.3 The Customer hereby authorises the Company (notwithstanding any subsequent instruction to the contrary after the date of the commencement of the Contract) to deduct any sums properly due to the Company arising under a breach of these terms from any credit card debit card or charge account details of which are in the possession of the Company

4.5. Cancellation of contract

4.5.1 Cancellation notices must be in writing and received by the Company’s representative before becoming effective.

4.5.2 The following shall apply should the customer cancel the contract:

– in the event of cancellation in writing 30 days before the beginning of hire 0% of the rental shall be due plus any expenses actually incurred by the Company

– in the event of cancellation between 29 and 10 days before the beginning of hire, 50% of the contract value or the total amount of expenses incurred to that point, whichever is the greater, shall be due

– in the event of cancellation 10 days or fewer before the beginning of hire, 100 % of the contract value shall be due.

4.5.3. Where scenic, gobos of other items are designed or fabricated as part of the contract an additional cancellation fee will be applicable, regardless of the date of cancellation, to an amount equal to the direct and indirect costs incurred by the Company or its affiliates in securing and/or constructing such custom materials plus a 15% administration fee.

4.5.4 Cancellation fees shall be due immediately upon any such cancellation by the Customer.

4.5.5. Postponement of an agreed date shall be regarded as a cancellation.

4.6. Ownership

The Company retains all title and rights in and to the Equipment and all related accessories.

  1. CREATIVE SERVICES

Content production / customized media (e.g. graphics / artwork, videos, 3D visualizations etc.)

  • Minor adjustments (e.g. colours, spelling mistakes etc.) are included in the costs listed in the offer. Larger adjustments / corrections, which mean an increased effort beyond the project cost calculation, shall be agreed between the parties and, if necessary, shall be charged subsequently on the basis of the applicable daily and/or hourly rates via a written supplementary order, unless otherwise agreed in writing.
  • Costs for e.g. stock material/licenses, shooting(s), production/printing, courier/transport, travel costs (“third-party costs/expenses”) are only included in the offer if they are shown in the offer items. Depending on the concept/implementation, etc., additional costs may be incurred for the aforementioned expenses, if they are not already listed in the offer. In any case, external costs will be agreed upon with the Customer in advance.
  • If the Company is requested and commissioned by the Customer to use copyrighted property, which requires the obtaining of rights of use, the obtaining of rights of third parties of any kind, including the registration with the GEMA, is carried out on the Customer’s own responsibility in the name and for the account of the Customer. The Company will be held harmless in any case of infringement of third-party rights.
  • The transfer of open work files by the Company is not included and requires a separate agreement or remuneration if necessary.
  • Offers and contracts contain project-specific concepts with limited rights of use. Unlimited rights of use for this are subject to a charge and shall be listed and invoiced separately in the offer. In principle, the transfer of rights of use relates exclusively to the finished product (the content/output) that was created for the client for use within the scope of the order.
  • The Company is entitled to re-use project-specific concepts in its own interest, unless otherwise agreed in writing or no exclusive rights of use are agreed in writing.
  1. CONDITIONS AS TO SALE

6.1. Risk in Title

6.1.1. The risk in the Equipment shall pass to the Customer immediately on delivery to the Customer at the address shown for delivery on the contract or if the Customer collects on collection

6.1.2. Property and title in the Equipment shall remain vested in the Company and the Company reserves the right to dispose of the Equipment until such time as the price shall have been paid in full

6.1.3. If any part of the payment is overdue or if the Customer is in breach of any of these terms or if the Customer or any third party shall take any steps or any act or proceeding in which in the reasonable view of the Company the Customer’s solvency is in doubt the Company may (without prejudice to any of the Company’s other rights) recover or resell the Equipment and may enter upon the Customer’s or any third parties property for that purpose.

6.2. Receipt

6.2.1. The Customer or any duly authorised person on behalf of the Customer shall receive and unload the Equipment and shall check the same for quantity and condition in the presence of the Company’s carrier

6.2.2. Any shortage of or unsatisfactory Equipment shall be endorsed by the Customer or a duly authorised person on behalf of the Customer on the delivery document and the Customer shall give written confirmation to the Company within three days of delivery

6.2.3. No claim in respect of shortage of or unsatisfactory condition of the Equipment shall be entertained by the Company unless condition 5.2.2. is observed

6.2.4. This condition does not affect the statutory rights of the Customer

6.3. Price

The price charged will be the price ruling at the time of delivery. Where this is at variance with the price quoted or inserted in the contract at the time the goods were ordered the Customer will be advised prior to delivery

  1. VIDEO CONFERENCE & VIDEO / VOICE OVER IP

When the Company provides audio conference and / or videoconference Equipment, the Company can only be responsible for Equipment provided by the Company, unless previously agreed upon. Communications with third parties via telephone or ISDN lines, communications on the Internet, or any other programs and use of accounts specific communications to carrying out the remote conference are the responsibility of the telecommunications provider, the Internet service provider, or failing that, the Customer. Any connection or connection maintenance problem is beyond the control of the Company and the Company cannot be held responsible, unless previously agreed upon.

  1. GENERAL CONDITIONS

8.1. Power to Enter this Contract

8.1.1. The signatory to the contract warrants that they are duly authorised on the Customer’s behalf to enter into the contract and hereby personally indemnifies the Company against all losses and costs that may be incurred by the Company if this is not the case

8.1.2 Written acceptance of a quote and/or the provision of a purchase order shall constitute the forming of a contract

8.2. Payment and Interest

8.2.1. Customers who do not have an account open with the Company must pay a deposit of 50% when signing the quote, the remaining 50% being paid no later than 30 days before the date of the event (or the provision of Equipment in the case of a rental only).
Any other agreement on the terms of payment must be approved in writing by the Company at least ten days before the Event.
Non-payment may result in the non-supply of the Equipment and services specified in the quote.

8.2.2. Where payments are not made on the due date the Company will be entitled to interest on the amount that is overdue at JP Morgan Chase PLC base rate prevailing for the period for which such monies are overdue together with 4% calculated on a day-to-day basis compounded with quarterly rests.

8.2.3. The payment of such interest shall be without prejudice to any other rights or remedies of the Company

8.2.4. Any legal or other charges incurred in the recovery of money or Equipment shall be paid by the Customer

8.2.5. Notwithstanding any provision in these terms of business to the contrary the customer shall if required by the Company pay such sum on account of the hire charges or price for goods and or services as shall be agreed at the time of placing the order

8.3. Liability

8.3.1. The Company’s liability for any defect in the Equipment shall be limited to and in no case exceed:
(a) any manufacturer’s warranty sold with the Equipment; or if there shall be none
(b) replacement or repair of the defective Equipment; or
(c) at the Company’s option a refund of the price

8.3.2. Consequential losses – Nothing in these terms and conditions shall make the Company liable for any consequential loss to the Customer including any expense liability loss claim or proceeding whatsoever caused by or arising out of the late delivery non delivery unsuitability incompatibility or unlawful repossession of the Equipment or any part thereof or any breakdown or stoppage of the same

8.3.3. LIMITATION OF LIABILITY: Notwithstanding any other provision, the Company’s aggregate liability to the Customer under any circumstances shall be strictly limited to an amount equal to the actual fees paid to the Company in connection with the Contract. Under no circumstances shall the Company’s liability exceed such fees.

8.4. Indemnification

The Customer and the Company each hereby agree to forever indemnify, defend and hold harmless the other for any and all claims, losses, costs (including reasonable attorney’s fees and costs), damages and/or injury to property and persons (including death) as a result of the negligent acts, errors or omissions of each party and their respective employees, agents, representatives and contractors.

8.5. Force Majeure

The Company’s failure to perform any term or condition of our contract as a result of conditions beyond its control such as, but not limited to, war, strikes, fires, floods, acts of God, governmental restrictions, power failures, or damage or destruction of any network facilities or servers, shall not be deemed a failure to perform their part of the hire agreement.

8.6. Injury to Persons and Damage to Property

Subject to 8.3. above the Company shall not be liable for any loss other than that which directly arises from any injury to persons or damage to tangible property where and only to the extent that such injury or damage is caused by any defects in the Equipment and where such defect is caused by the negligence of the Company

8.7. Rights Reserved

8.7.1. Any failure by the Company to enforce any or all of these conditions shall not be construed as a waiver of any of the Company rights hereunder

8.7.2. If any term in these conditions shall be held invalid such invalidation shall not affect the validity of the remaining terms

8.8. Terms of Contract

These conditions have effect in substitution for and to the exclusion of any condition put forward by the Customer

8.9. Delivery and Carriage

8.9.1. All times quoted or stated for deliveries are approximate only shall not be liable for any delay in delivery of the Equipment howsoever caused.

8.9.2. Hire charges or sale prices do not include carriage. Any expenses incurred by the Company in delivery or recovering Equipment or attempting the same will be paid by the Customer

8.9.3. Where carriage charges are quoted by the Company such charges will include only for the time to load or unload alongside the Company vehicle at the address specified by the Customer. Further time or attendance will be paid for by the Customer

8.9.4 The Company reserves the right to recharge additional costs of delivery and collection including, but not restricted to, parking fines, waiting time and toll charges.

8.9.5 The Company shall not be held liable for any damage incurred to a customer vehicle when loading\unloading or for the safe and secure loading of their vehicle.

8.9.6 Where the Customer makes arrangements for the delivery and collection of Equipment, the Customer will be liable for loss or damage which occurs during transport of the Equipment.

8.10. Personal Data

Personal data collected from Customers is subject to computer processing by Encore. They are recorded in the Customer’s file and are essential for the processing of his order. This information and personal data are also kept for security purposes, in order to comply with legal and regulatory obligations. They will be kept as long as necessary for the execution of orders and any applicable guarantees.
The data controller is the Company. Access to personal data will be strictly limited to the employees of the data controller, authorised to process it because of their functions. The information collected may possibly be communicated to third parties linked to the Company by contract for the execution of subcontracted tasks, without the authorisation of the Customer being necessary.

As part of the performance of their services, third parties have only limited access to the data and are obliged to use it in accordance with the provisions of the applicable legislation on the protection of personal data. Apart from the cases stated above, the Company refrains from selling, renting, assigning or giving access to third parties to the data without the Customer’s prior consent, unless it is forced to do so for legitimate reasons.

If the data is to be transferred outside the EU, the Customer will be informed and the guarantees taken in order to secure the data (for example, adhesion of the external service provider to the “Privacy Shield”, adoption of validated protection clauses by the CNIL, adoption of a code of conduct, obtaining a CNIL certification, etc.) will be specified.

In accordance with applicable regulations, the Customer has a right of access, rectification, erasure, and portability of data concerning him, as well as the right to oppose the processing for legitimate reasons, rights which he can exercise by contacting the data controller at their registered office. In the event of a complaint, the Customer may send a complaint to the relevant authority.

8.11. Copyright

8.11.1. The Company notifies the Customer that playing or showing copyright material in circumstances where the Customer or anyone authorised by him does not hold the appropriate licence of the copyright holder, he will infringe copyright and may become liable in damages for so doing

8.11.2. The Customer by accepting delivery of sound or visual reproduction Equipment warrants that he has or will obtain the appropriate licence for the said performance playing or showing, prior to using the Equipment for the said purpose

8.11.3 The customer agrees to indemnify the Company in respect of any claim for breach of copyright caused by the transmission, recording, broadcasting, rebroadcasting of audio and visual projection on behalf of the Customer.

8.12. Confidentiality

All quotes, contracts, plans and specifications provided by the Company to the Customer are confidential and are not to be passed to any third party for a competitive bid or any other purpose.

TÉRMINOS Y CONDICIONES COMERCIALES GENERALES DE ENCORE – EMEA

  1. DEFINICIONES Y LEGISLACION

1.1. “la Empresa” se refiere a la entidad legal identificada en la cotización.

1.2. “el Equipamiento” se refiere a los bienes, componentes y otros artículos alquilados o vendidos por la Empresa o cualquier parte de los mismos.

1.3. “el Cliente” es la persona, empresa, corporación u organismo público que alquila o compra el Equipamiento. Cualquier persona que actúe en nombre del Cliente estará vinculada por el Contrato.

1.4. “Evento” se refiere al evento para el cual el Cliente alquilará el Equipamiento y/o servicios.

1.5. “Interés” se refiere al interés calculado de acuerdo con la Cláusula 8.2.

1.6. El Contrato se interpretará y aplicará de acuerdo con las leyes del país donde esté registrada la Empresa, y las partes acuerdan someterse a la jurisdicción exclusiva de dichos tribunales.

  1. CONDICIONES DE ALQUILER – SERVICIO COMPLETO – ALQUILER DE EQUIPAMIENTO Y PERSONAL Y/O SERVICIOS ADICIONALES

2.1. Cargos

2.1.1. Los cargos por alquiler comienzan en la fecha especificada en el contrato y son pagaderos durante todo el periodo de alquiler.

2.2. Período de alquiler

2.2.1. El período de alquiler comienza en la fecha especificada en el Contrato y continúa durante el período establecido en el mismo, terminando en el último día del periodo de alquiler a la hora especificada en la cotización.

2.3. Responsabilidades del Cliente

2.3.1. La responsabilidad del Cliente sobre el Equipamiento comienza en el momento en que lo recibe o su agente lo recibe en su nombre, y finaliza cuando la Empresa emite un recibo de devolución del Equipamiento sin reservas.

2.3.2. El Cliente no podrá en ningún momento vender, ceder o transferir el control del Equipamiento ni intentar hacerlo.

2.4. Especificación del Equipamiento

2.4.1. Todas las descripciones y especificaciones, dibujos y detalles de peso y dimensiones emitidos por la Empresa son aproximados y solo tienen la intención de presentar una idea general de los bienes a los que se refieren. La Empresa se reserva el derecho de cambiar las especificaciones sin previo aviso debido al desarrollo continuo.

2.5. Uso del Equipamiento

2.5.1. Todo el Equipamiento debe ser manejado y operado por el personal de la Empresa o por sus afiliados debidamente designados.

2.5.2. El Equipamiento no podrá ser operado, movido, almacenado o mantenido por el Cliente o por cualquier otra parte sin un acuerdo previo por escrito con la Empresa. Si el Equipamiento es movido o reubicado por personal no autorizado, el Cliente podrá incurrir en cargos adicionales.

.5.3. El Cliente acepta que la Empresa podrá acceder libremente al Equipamiento en cualquier momento antes, durante y/o después del evento para su instalación, desmontaje, mantenimiento y revisiones rutinarias.

2.5.4. Tarifas de personal. Este presupuesto, a menos que se indique específicamente, no incluye: transporte del personal, alojamiento y estacionamiento/ parking. Las horas extra de trabajo se facturarán a 1,5 veces la tarifa horaria para horas trabajadas en exceso de ocho horas y al doble de la tarifa horaria para horas trabajadas en exceso de 16 horas. Los empleados de la Empresa requieren un descanso obligatorio de 11 horas entre turnos de trabajo.

  1. CONDICIONES DE ALQUILER – SOLO ALQUILER DE EQUIPAMIENTO

3.1. Cargos

3.1.1. Los cargos por alquiler comienzan en la fecha especificada en el contrato y son pagaderos durante todo el periodo de alquiler.

3.1.2. El Equipamiento debe devolverse en la fecha especificada en el Contrato en condiciones limpias y en pleno funcionamiento, y el Cliente debe obtener un recibo de la Empresa.

3.1.3. Se aplicarán cargos adicionales a la tarifa diaria completa en caso de incumplimiento de estas condiciones o si el Equipamiento no está disponible para ser utilizado por otros clientes.

3.1.4. Todos los cables deben devolverse enrollados y sujetos con cinta adhesiva. En caso contrario, se aplicará un cargo por cable.

3.1.5. La Empresa proporciona lámparas de repuesto cuando corresponda. Estas y las lámparas que se reemplacen deben devolverse con el Equipamiento; en caso contrario, se cobrará el costo total de reposición.

3.2. Período de alquiler

3.2.1. El período de alquiler comienza a las 7:00 a. m. en la fecha especificada en el Contrato y continúa hasta la medianoche del último día del periodo de alquiler, salvo que se especifique lo contrario en la cotización.

3.3. Responsabilidades del Cliente

3.3.1. La responsabilidad del Cliente sobre el Equipamiento comienza al recibirlo o al ser recibido por su agente en su nombre, y finaliza cuando la Empresa emite un recibo sin reservas por la devolución del Equipamiento.

3.3.2. El Cliente no podrá en ningún momento vender, ceder o transferir el control del Equipamiento ni intentar hacerlo.

3.3.3. El Cliente garantiza que todas las personas que utilicen el Equipamiento han recibido instrucciones adecuadas sobre su uso seguro y correcto y se asegurará de que cada usuario disponga del material de instrucción necesario. Además, el Cliente se compromete a no permitir un uso indebido del Equipamiento.

3.3.4. El Cliente indemnizará en todo momento a la Empresa por cualquier gasto, responsabilidad, pérdida financiera, reclamación o procedimiento de cualquier tipo con respecto a cualquier lesión personal o daño o pérdida de cualquier propiedad que surja de o en relación con la entrega, alquiler, uso, no uso, recuperación, recogida, devolución o no devolución del Equipamiento.

3.3.5. Nada en esta cláusula afectará los derechos legales de los Clientes ni pretende excluir ninguna responsabilidad que no pueda ser excluida legalmente.

3.4. Equipamiento eléctrico

3.4.1. Cualquier Equipamiento eléctrico debe utilizarse con enchufes y/o tomas de corriente tal como se entregó.

3.4.2. No se podrá modificar ningún Equipamiento sin el consentimiento previo por escrito de la Empresa.

3.4.3. El Cliente será responsable en todo momento de garantizar un suministro adecuado de electricidad para el uso del Equipamiento y asegurarse de que el Equipamiento esté siempre correctamente conectado a tierra. Los daños al Equipamiento causados por una conexión incorrecta o por una interrupción del suministro eléctrico serán cobrados al Cliente.

3.5. Mantenimiento y notificación del Equipamiento

3.5.1. El Cliente deberá garantizar que el Equipamiento permanezca en condiciones de funcionamiento y limpio durante el período de alquiler.

3.5.2. Cualquier avería o funcionamiento deficiente del Equipamiento deberá notificarse inmediatamente a la Empresa.

3.6. Mantenimiento y notificación del Equipamiento

3.6.1. Bajo ninguna circunstancia el Cliente intentará reparar el Equipamiento sin la autorización previa de la Empresa.

3.6.2. Cualquier Equipamiento dañado o defectuoso deberá ser devuelto a las instalaciones de la Empresa para su examen, a cargo del Cliente.

3.6.3. Si el Equipamiento está involucrado en un accidente que cause daños al Equipamiento, a otra propiedad o lesiones a cualquier persona, el Cliente deberá notificar inmediatamente a la Empresa.

3.6.4. El Equipamiento no debe ser retirado del sitio originalmente especificado por el Cliente o de cualquier sitio posteriormente autorizado sin el consentimiento previo de la Empresa.

3.7. Compatibilidad del Equipamiento

3.7.1. El Cliente deberá asegurarse de que el Equipamiento sea compatible y pueda utilizarse de manera segura con cualquier otro Equipamiento en uso por el Cliente.

3.7.2. El Cliente será responsable de garantizar que el Equipamiento sea adecuado para sus propósitos.

3.7.3. La Empresa se reserva el derecho de suministrar equipamiento de un diseño similar al Equipamiento especificado.

3.7.4. Todas las descripciones y especificaciones, dibujos y detalles de peso y dimensiones emitidos por la Empresa son aproximados y solo tienen la intención de presentar una idea general de los bienes a los que se refieren y no formarán parte del contrato. Debido al desarrollo continuo, la Empresa se reserva el derecho de cambiar las especificaciones sin previo aviso.

  1. CONDICIONES APLICABLES A LOS ALQUILERES DE EQUIPAMIENTO, Y EQUIPAMIENTO Y SERVICOS

4.1. Aceptación

Las cotizaciones serán válidas por un período de 30 días a partir de la fecha indicada. En caso de que una cotización no sea aceptada, firmada y devuelta a la Empresa dentro de este período, será nula y todos los precios estarán sujetos a cambios.

4.2. Estimación

Las cotizaciones se desarrollan en base a la información proporcionada por el Cliente y solo representan una estimación del Equipamiento y los servicios a proporcionar. En caso de que la cantidad real de Equipamiento, servicios, personal y cualquier mercancía relacionada con el Evento sea mayor que la especificada en la cotización, el Cliente será responsable de los costos adicionales a las tarifas estándar vigentes de la Empresa. Todos los costos de personal, IVA, transporte, envío/manejo, transporte y alojamiento del personal, dietas y cargos eléctricos (si aplicables al Evento) son estimativos, y las cantidades finales se cobrarán y serán pagaderas en la factura final.

4.3. Seguro

4.3.1. El Cliente acepta pagar a la Empresa el costo total de reposición de cualquier Equipamiento perdido, robado o dañado más allá de una reparación económica (sin deducción por uso, desgaste o antigüedad).

4.3.2. El Cliente deberá asegurar los bienes contra la responsabilidad mencionada anteriormente.

4.3.3. Cualquier suma recibida por el Cliente de cualquier compañía de seguros o terceros en liquidación de un siniestro deberán ser retenidos en fideicomiso por el Cliente y pagados a la Empresa a demanda en la medida en que dicho pago sea debido bajo esta cláusula.

4.3.4. El Cliente no deberá negociar ni resolver ninguna reclamación sin el consentimiento expreso de la Empresa.

4.3.5. En el caso de Equipamiento que se haya perdido, robado o dañado más allá de una reparación económica, el Cliente deberá pagar un cargo a la tarifa diaria completa junto con los intereses y cualquier pérdida consecuente hasta que el Equipamiento sea reemplazado.

4.4. Finalización del alquiler

4.4.1. La Empresa tendrá derecho a rescindir el contrato con efecto inmediato y recuperar el Equipamiento si en cualquier momento: (a) El Cliente incumple estos términos; o (b) El Cliente toma cualquier medida o se inicia cualquier acto o procedimiento en el que, a juicio razonable de la Empresa, la solvencia del Cliente esté en duda.

Dicha rescisión no afectará el derecho de la Empresa a recuperar del Cliente cualquier suma adeudada bajo este contrato, intereses, pérdidas consecuentes o daños por incumplimiento.

4.4.2. El Cliente autoriza a la Empresa a ingresar en cualquier propiedad donde la Empresa razonablemente crea que se encuentra el Equipamiento y la Empresa, a su entera discreción, podrá recuperar y retirar el Equipamiento.

4.4.3. El Cliente autoriza a la Empresa (a pesar de cualquier instrucción posterior en contrario después de la fecha de inicio del Contrato) a deducir cualquier suma debida a la Empresa derivada de un incumplimiento de estos términos de cualquier tarjeta de crédito, tarjeta de débito o cuenta de cargo cuyos detalles estén en posesión de la Empresa.

4.5. Cancelación del contrato

4.5.1. Los avisos de cancelación deberán realizarse por escrito y ser recibidos por el representante de la Empresa antes de que sean efectivos.

4.5.2. Se aplicará lo siguiente en caso de que el Cliente cancele el contrato:

  • En caso de cancelación por escrito con 30 días de antelación al inicio del alquiler, no se adeudará ningún porcentaje del valor del alquiler, aunque sí los gastos efectivamente incurridos por la Empresa.
  • En caso de cancelación entre 29 y 10 días antes del inicio del alquiler, se adeudará el 50 % del valor del contrato o la totalidad de los gastos incurridos hasta ese momento, lo que sea mayor.
  • En caso de cancelación con 10 días o menos de antelación al inicio del alquiler, se adeudará el 100 % del valor del contrato.

4.5.3. Cuando se diseñen o fabriquen elementos escénicos, gobos u otros artículos como parte del contrato, se aplicará una tarifa de cancelación adicional, independientemente de la fecha de cancelación, equivalente a los costos directos e indirectos incurridos por la Empresa o sus afiliados para obtener y/o fabricar dichos materiales personalizados, más una tarifa administrativa del 15 %.

4.5.4. Las tarifas de cancelación serán pagaderas inmediatamente tras la cancelación por parte del Cliente.

4.5.5. El aplazamiento de una fecha acordada se considerará como una cancelación.

4.6. Propiedad

La Empresa retiene todos los derechos de propiedad sobre el Equipamiento y sus accesorios relacionados.

  1. SERVICIOS CREATIVOS

Producción de contenidos / medios personalizados (por ejemplo, gráficos / ilustraciones, vídeos, visualizaciones en 3D, etc.)

5.1. Los ajustes menores (por ejemplo, colores, faltas de ortografía, etc.) están incluidos en los costes indicados en la oferta. Los ajustes/correcciones mayores, que suponen un esfuerzo mayor que el cálculo del coste del proyecto, se acordarán entre las partes y, si es necesario, se cobrarán posteriormente sobre la base de las tarifas diarias y/o horarias aplicables mediante un pedido complementario por escrito, a menos que se acuerde lo contrario por escrito.
5.2. Los costes de, por ejemplo, material de stock/licencias, rodaje(s), producción/impresión, mensajería/transporte, gastos de viaje («costes/gastos de terceros») solo se incluyen en la oferta si figuran en los artículos de la oferta. Dependiendo del concepto/implementación, etc., pueden producirse costes adicionales por los gastos mencionados, si no figuran ya en la oferta. En cualquier caso, los costes externos se acordarán previamente con el Cliente.
5.3. Si el Cliente solicita y encarga a la Empresa el uso de propiedad protegida por derechos de autor, lo que requiere la obtención de derechos de uso, la obtención de derechos de terceros de cualquier tipo, incluido el registro en la GEMA, se lleva a cabo bajo la propia responsabilidad del Cliente en nombre y por cuenta del Cliente. La Empresa quedará exenta de responsabilidad en caso de infracción de los derechos de terceros.
5.4. La transferencia de archivos de trabajo abiertos por parte de la Empresa no está incluida y requiere un acuerdo o remuneración por separado si es necesario.
5.5. Las ofertas y los contratos contienen conceptos específicos del proyecto con derechos de uso limitados. Los derechos de uso ilimitados para esto están sujetos a un cargo y se enumerarán y facturarán por separado en la oferta. En principio, la transferencia de derechos de uso se refiere exclusivamente al producto terminado (el contenido/resultado) que se creó para el cliente para su uso dentro del alcance del pedido.

5.6. La Empresa tiene derecho a reutilizar conceptos específicos del proyecto en su propio interés, a menos que se acuerde lo contrario por escrito o no se acuerden por escrito derechos exclusivos de uso.

  1. CONDICIONES DE VENTA

5.1. Riesgo sobre la propiedad

5.1.1. El riesgo sobre el Equipamiento pasará al Cliente en el momento de la entrega en la dirección especificada en el contrato o, si el Cliente lo recoge, en el momento de la recogida.

5.1.2. La propiedad y titularidad del Equipamiento seguirán siendo de la Empresa, y esta se reserva el derecho de disponer del Equipamiento hasta que el precio haya sido pagado en su totalidad.

5.1.3. Si alguna parte del pago se encuentra vencida, si el Cliente incumple alguno de estos términos o si la Empresa considera razonablemente que la solvencia del Cliente está en duda, podrá recuperar o revender el Equipamiento y entrar en la propiedad del Cliente o de terceros para dicho propósito.

5.2. Recepción

5.2.1. El Cliente o una persona debidamente autorizada deberá recibir y descargar el Equipamiento, verificando la cantidad y estado del mismo en presencia del transportista de la Empresa.

5.2.2. Cualquier falta o estado defectuoso del Equipamiento deberá indicarse en el documento de entrega y confirmarse por escrito a la Empresa dentro de los tres días posteriores a la entrega.

5.2.3. La Empresa no aceptará reclamaciones por escasez o estado defectuoso del Equipamiento si no se cumplen las condiciones de la cláusula 5.2.2.

5.2.4. Esta cláusula no afecta los derechos legales del Cliente.

5.3. Precio

El precio cobrado será el vigente en el momento de la entrega. Si este difiere del precio indicado en la cotización o contrato original, se informará al Cliente antes de la entrega.

 

  1. VIDEOCONFERENCIAS Y VOZ SOBRE IP

Cuando la Empresa proporciona Equipamiento para conferencias de audio y/o videoconferencias, solo será responsable del Equipamiento proporcionado por ella, salvo acuerdo previo. Las comunicaciones con terceros mediante líneas telefónicas, ISDN, Internet u otros servicios específicos serán responsabilidad del proveedor de telecomunicaciones, el proveedor de Internet o, en su defecto, del Cliente. La Empresa no será responsable de problemas de conexión o mantenimiento de la conexión, salvo acuerdo previo.

  1. CONDICIONES GENERALES

7.1. Facultades para celebrar este contrato

7.1.1. El firmante del contrato garantiza que está debidamente autorizado para celebrar el contrato en nombre del Cliente y asume personalmente la responsabilidad de indemnizar a la Empresa por cualquier pérdida o costo incurrido en caso de que esto no sea cierto.

7.1.2. La aceptación por escrito de una cotización y/o la emisión de una orden de compra constituirán la formalización de un contrato.

7.2. Pago e intereses

7.2.1. Los clientes que no tengan una cuenta abierta con la Empresa deberán abonar un depósito del 50 % al firmar la cotización, y el 50 % restante deberá pagarse a más tardar 30 días antes de la fecha del evento (o del suministro del Equipamiento en caso de solo alquiler). Cualquier otro acuerdo de pago deberá ser aprobado por escrito por la Empresa al menos diez días antes del evento. El impago puede dar lugar a la no prestación del Equipamiento y servicios especificados en la cotización.

7.2.2. Si los pagos no se realizan en la fecha de vencimiento, la Empresa tendrá derecho a cobrar intereses sobre la cantidad adeudada a la tasa base de JP Morgan Chase PLC vigente en el período de demora, más un 4 %, calculado diariamente y compuesto trimestralmente.

7.2.3. El pago de dichos intereses no afectará otros derechos o recursos de la Empresa.

7.2.4. Cualquier gasto legal u otro incurrido para recuperar dinero o Equipamiento será responsabilidad del Cliente.

7.2.5. Independientemente de otras disposiciones de estos términos, si así lo requiere la Empresa, el Cliente deberá pagar una cantidad acordada por adelantado por los cargos de alquiler o el precio de los bienes y/o servicios al realizar el pedido.

7.3. Responsabilidad

7.3.1. La responsabilidad de la Empresa por cualquier defecto en el Equipamiento estará limitada a lo siguiente y en ningún caso la superará:

(a) Cualquier garantía del fabricante aplicable al Equipamiento; o, si no la hubiera, (b) El reemplazo o reparación del Equipamiento defectuoso; o (c) A opción de la Empresa, un reembolso del precio.

7.3.2. Pérdidas consecuentes: Nada en estos términos hará responsable a la Empresa de pérdidas consecuentes del Cliente, incluidos gastos, reclamaciones o pérdidas derivadas de la entrega tardía, falta de entrega, incompatibilidad o incautación indebida del Equipamiento.

7.3.3. LÍMITE DE RESPONSABILIDAD: Independientemente de cualquier otra disposición, la responsabilidad total de la Empresa frente al Cliente estará estrictamente limitada al importe efectivamente pagado a la Empresa en relación con el contrato. Bajo ninguna circunstancia la responsabilidad de la Empresa excederá dicho importe.

7.4. Indemnización

El Cliente y la Empresa acuerdan indemnizar, defender y eximir de responsabilidad a la otra parte frente a cualquier reclamación, pérdida, costo (incluidos honorarios razonables de abogados), daños y/o lesiones a personas o bienes (incluyendo la muerte) derivadas de actos negligentes, errores u omisiones de cada parte y sus respectivos empleados, agentes, representantes y contratistas.

7.5. Fuerza mayor

La Empresa no será responsable de incumplimientos contractuales debido a circunstancias fuera de su control, tales como guerras, huelgas, incendios, inundaciones, desastres naturales, restricciones gubernamentales o fallos en la red eléctrica o servidores.

7.6. Lesiones a personas y daños a la propiedad

Sujeto a la cláusula 7.3 anterior, la Empresa no será responsable de ninguna pérdida salvo aquellas que surjan directamente de lesiones a personas o daños a bienes tangibles cuando, y solo en la medida en que, dichas lesiones o daños sean causados por defectos en el Equipamiento y cuando tales defectos sean consecuencia de la negligencia de la Empresa.

7.7. Derechos reservados

7.7.1. La falta de aplicación por parte de la Empresa de cualquiera o todas estas condiciones no se interpretará como una renuncia a sus derechos en virtud del presente documento.

7.7.2. Si alguna disposición de estas condiciones se considera inválida, dicha invalidez no afectará la validez de las disposiciones restantes.

7.8. Términos del contrato

Estas condiciones sustituyen y excluyen cualquier otra condición propuesta por el Cliente.

7.9. Entrega y transporte

7.9.1. Todos los tiempos cotizados o indicados para las entregas son aproximados y la Empresa no será responsable por ningún retraso en la entrega del Equipamiento, independientemente de la causa.

7.9.2. Los cargos de alquiler o los precios de venta no incluyen el transporte. Cualquier gasto incurrido por la Empresa en la entrega o recuperación del Equipamiento será pagado por el Cliente.

7.9.3. Cuando la Empresa cotice los costos de transporte, estos solo incluirán el tiempo necesario para cargar o descargar junto al vehículo de la Empresa en la dirección especificada por el Cliente. El tiempo adicional o la asistencia serán pagados por el Cliente.

7.9.4. La Empresa se reserva el derecho de repercutir los costos adicionales de entrega y recolección, incluidos, pero no limitados a, multas de estacionamiento, tiempos de espera y peajes.

7.9.5. La Empresa no será responsable de ningún daño ocasionado a un vehículo del Cliente durante la carga o descarga, ni de la seguridad y correcta sujeción de la carga en su vehículo.

7.9.6. Cuando el Cliente organice la entrega y recogida del Equipamiento, será responsable de cualquier pérdida o daño que ocurra durante el transporte del mismo.

7.10. Datos personales

Los datos personales recopilados de los Clientes están sujetos a procesamiento informático por parte de Encore. Se registran en el expediente del Cliente y son esenciales para la tramitación de su pedido. Esta información y los datos personales también se conservan con fines de seguridad, para cumplir con las obligaciones legales y reglamentarias. Se conservarán durante el tiempo necesario para la ejecución de los pedidos y cualquier garantía aplicable.

El responsable del tratamiento de los datos es la Empresa. El acceso a los datos personales estará estrictamente limitado a los empleados del responsable del tratamiento autorizados a procesarlos en virtud de sus funciones. La información recopilada puede comunicarse a terceros vinculados a la Empresa por contrato para la ejecución de tareas subcontratadas, sin que sea necesaria la autorización del Cliente.

Como parte de la prestación de sus servicios, los terceros solo tienen acceso limitado a los datos y están obligados a utilizarlos de acuerdo con las disposiciones de la legislación aplicable en materia de protección de datos personales. Fuera de los casos mencionados, la Empresa se abstendrá de vender, alquilar, ceder o permitir el acceso de terceros a los datos sin el consentimiento previo del Cliente, salvo que esté obligada a hacerlo por razones legítimas.

Si los datos se transfieren fuera de la UE, el Cliente será informado y se especificarán las garantías adoptadas para asegurar la protección de los datos (por ejemplo, adhesión del proveedor externo al “Privacy Shield”, adopción de cláusulas de protección validadas por la CNIL, adopción de un código de conducta, obtención de una certificación de la CNIL, etc.).

De conformidad con la normativa aplicable, el Cliente tiene derecho de acceso, rectificación, supresión y portabilidad de sus datos, así como el derecho de oposición al tratamiento por razones legítimas. Puede ejercer estos derechos poniéndose en contacto con el responsable del tratamiento en su domicilio social. En caso de reclamación, el Cliente puede dirigirse a la autoridad competente.

7.11. Derechos de autor

7.11.1. La Empresa informa al Cliente de que la reproducción o exhibición de material protegido por derechos de autor sin la licencia adecuada del titular de los derechos de autor constituirá una infracción y puede dar lugar a responsabilidades por daños y perjuicios.

7.11.2. El Cliente, al aceptar la entrega del Equipamiento de reproducción de sonido o imagen, garantiza que posee o que obtendrá la licencia adecuada para dicha reproducción, proyección o exhibición antes de utilizar el Equipamiento con este propósito.

7.11.3. El Cliente se compromete a indemnizar a la Empresa por cualquier reclamación derivada de la infracción de derechos de autor causada por la transmisión, grabación, emisión o retransmisión de audio o video en su nombre.

7.12. Confidencialidad

Todas las cotizaciones, contratos, planes y especificaciones proporcionados por la Empresa al Cliente son confidenciales y no deben ser divulgados a terceros para obtener una oferta competitiva o para cualquier otro propósito.

CONDICIONS GENERALS DE NEGOCI – EMEA – ENCORE

  1. DEFINICIONS I LEGISLACIÓ

1.1. “l’Empresa” shall mean the legal entity identified in the quote

1.2. “l’Equip” shall mean goods, components and other items hired or sold by l’Empresa or any part thereof

1.3. “el Client” is the person, firm, corporate or public body hiring or purchasing l’Equip. Any person purporting to act on behalf of el Client shall be bound by the Contract

1.4. “Esdeveniment” refers to the event for which el Client is to hire Equipment and/ or services

1.5. “Interessos” shall mean interest calculated in accordance with Clause 8.2

1.6. The Contract shall be interpreted and applied in accordance with laws of the country of l’Empresa’s registered office and the parties to this contract agree to submit to the exclusive jurisdiction of those courts

2.1. Càrrecs

2.5.1. l’Empresa’s personnel, or their duly appointed affiliates, must handle and operate all Equipment.

2.5.2 Equipment may not be operated, moved, stored, or serviced by el Client or any other party unless authorized by prior written agreement from l’Empresa. The Customer may incur additional charges if Equipment is moved or relocated by unauthorized personnel.

2.5.3 The Customer agrees that l’Empresa shall be permitted free access to l’Equip at any time before, during and/or after the event for purpose of set/strike, maintenance and routine checks.

2.5.4. Labour rates. This estimate, unless specifically indicated, does not include the following items: Crew transportation, lodging and local parking. All overtime labour will be billed at 1.5 times the hourly rate for the position (day rate divided by eight) for hours worked in excess of eight, and 2 times the hourly rate for hours worked in excess of 16 hours. The Company’s employees require a mandatory 11-hour break between work periods.

 

  1. CONDICIONS DE LLOGUER SEC (NOMÉS LLOGUER D’EQUIP)

3.1. Càrrecs

3.1.1. Hire charges commence from the date stated in the contract and are payable for the period of hire

3.1.2. Equipment must be returned on the date specified in the Contract in a clean and serviceable condition and el Client must obtain l’Empresa’s receipt

3.1.3. Additional charges accrue at the full daily hire rate together with consequential loss in the event of the breach of these conditions or l’Equip not being available for use by other customers

3.1.4. All cables must be returned coiled and taped and in default a charge per cable will be made

3.1.5. The Company provides spare lamps with Equipment where appropriate. These and any lamps they replace must be returned with l’Equip and in default their full replacement cost will be charged

3.3.3 The Customer warrants that everyone who uses l’Equip has been properly instructed in its safe and proper operation and will ensure that every user is in possession of necessary instructional material and further will not allow l’Equip to be misused

3.3.4. The Customer will at all times fully indemnify l’Empresa against any expense liability financial loss claim or proceedings whatsoever in respect of any personal injury or damage to or loss of any property arising out of or in connection with the delivery, hire, use, non-use, repossession, collection, return or non-return of l’Equip

3.3.5. Nothing in this clause shall affect the statutory rights of el Clients or purport to exclude any liability which may not be excluded legally.

3.4. Equip Elèctric

3.4.1. Any electrical Equipment should be used with plugs and/or sockets as fitted.

3.4.2. No Equipment shall be modified without prior written consent from l’Empresa

3.4.3. The Customer shall be responsible at all times to arrange a proper supply of electricity for use with l’Equip and ensure that l’Equip shall at all times be properly earthed. Damage to Equipment from incorrectly connected or disrupted supply will be charged.

3.5. Manteniment i Informes de l’Equip

3.5.1. The Customer shall ensure that l’Equip remains serviceable and clean during the hire period

3.5.2 Any breakdown or unsatisfactory working of Equipment shall be immediately notified to l’Empresa

3.6. Manteniment i Informes de l’Equip

3.6.1. The Customer shall under no circumstances attempt to repair l’Equip without prior authorisation from l’Empresa

3.6.2. Any damaged or unsatisfactory Equipment must be returned to l’Empresa’s premises for examination at el Client’s cost

3.6.3. If l’Equip is involved in any accident resulting in damage to either l’Equip or other property or injury to any person, el Client shall notify l’Empresa immediately

3.6.4. Equipment must not be removed from any site originally specified by el Client or from any subsequently authorised site without prior consent of l’Empresa

3.7. Compatibilitat de l’Equip

3.7.1. The Customer shall ensure that l’Equip is compatible and may safely be used with any other Equipment being used by el Client

3.7.2. The Customer shall be responsible for ensuring that l’Equip is suitable for their purposes.

3.7.3. The Company reserves the right to supply equipment of a similar design to l’Equip specified.

3.7.4. All descriptions and specifications, drawings and particulars of weights and dimensions issued by l’Empresa are approximate only and are intended only to present a general idea of the goods to which they refer and shall not form part of the contract. Due to continuing development, l’Empresa reserves the right to change specifications without notice.

  1. CONDICIONS APLICABLES A TOTS ELS LLOGUERS (SEC I HUMIT)

4.1 Acceptació

Quotes will be valid for a period of 30 days from the date stated. In the event a quote is not accepted, signed and returned to l’Empresa within this period, it will be void and all prices are subject to change.

4.2. Pressupost

Quotes are developed based upon information provided by el Client and are only an estimate of Equipment and services to be provided. In the event the actual amount of Equipment, services, labour and any related merchandise provided in connection with the Esdeveniment is greater than the amount specified in a quote, el Client shall be charged for such additional Equipment, services and/or labour, at l’Empresa’s prevailing standard rates. All labour, VAT, transport, shipping /handling, personnel transportation & accommodation, per-diem and electrical charges (if applicable to the Esdeveniment) are estimated and final amounts will be charged and due upon final invoice.

4.3. Assegurança

4.3.1. The Customer agrees to pay l’Empresa the full retail cost of any Equipment lost stolen or damaged beyond economic repair (without deduction for usage wear tear or age)

4.3.2. The Customer shall insure the goods against the above liability

4.3.3. All monies received by el Client from any insurance company or third party in settlement of any claim shall be held in trust by el Client and paid to l’Empresa on demand to the extent that any such payment is due under this clause

4.3.4. The Customer shall not compromise or settle any claim without the express consent of l’Empresa

4.3.5. In the case of Equipment which is lost stolen or damaged beyond economic repair el Client shall pay a charge at the full daily rate together with interest and consequential loss until l’Equip is replaced

4.4. Finalització del lloguer

4.4.1 The Company shall be entitled to terminate the contract with immediate effect and to repossess l’Equip if at any time:
(a) The Customer is in breach of these terms; or
(b) The Customer shall take any steps or if any act or proceeding is commenced in which el Client’s solvency is in the reasonable view of l’Empresa in doubt.
Such termination shall not affect the right of l’Empresa to recover from el Client any monies due under this contract interest consequential loss or damages for breach

4.4.2 The Customer hereby authorises l’Empresa to enter upon any property, upon which l’Empresa reasonably believe any Equipment to be held and l’Empresa in their absolute discretion may recover and remove l’Equip

4.4.3 The Customer hereby authorises l’Empresa (notwithstanding any subsequent instruction to the contrary after the date of the commencement of the Contract) to deduct any sums properly due to l’Empresa arising under a breach of these terms from any credit card debit card or charge account details of which are in the possession of l’Empresa

4.5. Cancel·lació del contracte

4.5.1 Cancellation notices must be in writing and received by l’Empresa’s representative before becoming effective.

4.5.2 The following shall apply should the customer cancel the contract:

– in the event of cancellation in writing 30 days before the beginning of hire 0% of the rental shall be due plus any expenses actually incurred by l’Empresa

– in the event of cancellation between 29 and 10 days before the beginning of hire, 50% of the contract value or the total amount of expenses incurred to that point, whichever is the greater, shall be due

– in the event of cancellation 10 days or fewer before the beginning of hire, 100 % of the contract value shall be due.

4.5.3. Where scenic, gobos of other items are designed or fabricated as part of the contract an additional cancellation fee will be applicable, regardless of the date of cancellation, to an amount equal to the direct and indirect costs incurred by l’Empresa or its affiliates in securing and/or constructing such custom materials plus a 15% administration fee.

4.5.4 Cancellation fees shall be due immediately upon any such cancellation by el Client.

4.5.5. Postponement of an agreed date shall be regarded as a cancellation.

4.6. Propietat

The Company retains all title and rights in and to l’Equip and all related accessories.

 

  1. SERVEIS CREATIUS

Content production / customized media (e.g. graphics / artwork, videos, 3D visualizations etc.)

  • Minor adjustments (e.g. colours, spelling mistakes etc.) are included in the costs listed in the offer. Larger adjustments / corrections, which mean an increased effort beyond the project cost calculation, shall be agreed between the parties and, if necessary, shall be charged subsequently on the basis of the applicable daily and/or hourly rates via a written supplementary order, unless otherwise agreed in writing.
  • Costs for e.g. stock material/licenses, shooting(s), production/printing, courier/transport, travel costs (“third-party costs/expenses”) are only included in the offer if they are shown in the offer items. Depending on the concept/implementation, etc., additional costs may be incurred for the aforementioned expenses, if they are not already listed in the offer. In any case, external costs will be agreed upon with el Client in advance.
  • If l’Empresa is requested and commissioned by el Client to use copyrighted property, which requires the obtaining of rights of use, the obtaining of rights of third parties of any kind, including the registration with the GEMA, is carried out on el Client’s own responsibility in the name and for the account of el Client. The Company will be held harmless in any case of infringement of third-party rights.
  • The transfer of open work files by l’Empresa is not included and requires a separate agreement or remuneration if necessary.
  • Offers and contracts contain project-specific concepts with limited rights of use. Unlimited rights of use for this are subject to a charge and shall be listed and invoiced separately in the offer. In principle, the transfer of rights of use relates exclusively to the finished product (the content/output) that was created for the client for use within the scope of the order.
  • The Company is entitled to re-use project-specific concepts in its own interest, unless otherwise agreed in writing or no exclusive rights of use are agreed in writing.

  1. CONDICIONS DE VENDA

6.1. Risc i Propietat

6.1.1. The risk in l’Equip shall pass to el Client immediately on delivery to el Client at the address shown for delivery on the contract or if el Client collects on collection

6.1.2. Property and title in l’Equip shall remain vested in l’Empresa and l’Empresa reserves the right to dispose of l’Equip until such time as the price shall have been paid in full

6.1.3. If any part of the payment is overdue or if el Client is in breach of any of these terms or if el Client or any third party shall take any steps or any act or proceeding in which in the reasonable view of l’Empresa el Client’s solvency is in doubt l’Empresa may (without prejudice to any of l’Empresa’s other rights) recover or resell l’Equip and may enter upon el Client’s or any third parties property for that purpose.

6.2. Recepció

6.2.1. The Customer or any duly authorised person on behalf of el Client shall receive and unload l’Equip and shall check the same for quantity and condition in the presence of l’Empresa’s carrier

6.2.2. Any shortage of or unsatisfactory Equipment shall be endorsed by el Client or a duly authorised person on behalf of el Client on the delivery document and el Client shall give written confirmation to l’Empresa within three days of delivery

6.2.3. No claim in respect of shortage of or unsatisfactory condition of l’Equip shall be entertained by l’Empresa unless condition 5.2.2. is observed

6.2.4. This condition does not affect the statutory rights of el Client

6.3. Preu

The price charged will be the price ruling at the time of delivery. Where this is at variance with the price quoted or inserted in the contract at the time the goods were ordered el Client will be advised prior to delivery

  1. VIDEOCONFERÈNCIA I VEU/VÍDEO SOBRE IP

When l’Empresa provides audio conference and / or videoconference Equipment, l’Empresa can only be responsible for Equipment provided by l’Empresa, unless previously agreed upon. Communications with third parties via telephone or ISDN lines, communications on the Internet, or any other programs and use of accounts specific communications to carrying out the remote conference are the responsibility of the telecommunications provider, the Internet service provider, or failing that, el Client. Any connection or connection maintenance problem is beyond the control of l’Empresa and l’Empresa cannot be held responsible, unless previously agreed upon.

  1. CONDICIONS GENERALS

8.1. Capacitat per Entrar en Aquest Contracte

8.1.1. The signatory to the contract warrants that they are duly authorised on el Client’s behalf to enter into the contract and hereby personally indemnifies l’Empresa against all losses and costs that may be incurred by l’Empresa if this is not the case

8.1.2 Written acceptance of a quote and/or the provision of a purchase order shall constitute the forming of a contract

8.2. Payment and Interessos

8.2.1. Customers who do not have an account open with l’Empresa must pay a deposit of 50% when signing the quote, the remaining 50% being paid no later than 30 days before the date of the event (or the provision of Equipment in the case of a rental only).
Any other agreement on the terms of payment must be approved in writing by l’Empresa at least ten days before the Esdeveniment.
Non-payment may result in the non-supply of l’Equip and services specified in the quote.

8.2.2. Where payments are not made on the due date l’Empresa will be entitled to interest on the amount that is overdue at JP Morgan Chase PLC base rate prevailing for the period for which such monies are overdue together with 4% calculated on a day-to-day basis compounded with quarterly rests.

8.2.3. The payment of such interest shall be without prejudice to any other rights or remedies of l’Empresa

8.2.4. Any legal or other charges incurred in the recovery of money or Equipment shall be paid by el Client

8.2.5. Notwithstanding any provision in these terms of business to the contrary the customer shall if required by l’Empresa pay such sum on account of the hire charges or price for goods and or services as shall be agreed at the time of placing the order

8.3. Responsabilitat

8.3.1. The Company’s liability for any defect in l’Equip shall be limited to and in no case exceed:
(a) any manufacturer’s warranty sold with l’Equip; or if there shall be none
(b) replacement or repair of the defective Equipment; or
(c) at l’Empresa’s option a refund of the price

8.3.2. Consequential losses – Nothing in these terms and conditions shall make l’Empresa liable for any consequential loss to el Client including any expense liability loss claim or proceeding whatsoever caused by or arising out of the late delivery non delivery unsuitability incompatibility or unlawful repossession of l’Equip or any part thereof or any breakdown or stoppage of the same

8.3.3. LIMITATION OF LIABILITY: Notwithstanding any other provision, l’Empresa’s aggregate liability to el Client under any circumstances shall be strictly limited to an amount equal to the actual fees paid to l’Empresa in connection with the Contract. Under no circumstances shall l’Empresa’s liability exceed such fees.

8.4. Indemnització

The Customer and l’Empresa each hereby agree to forever indemnify, defend and hold harmless the other for any and all claims, losses, costs (including reasonable attorney’s fees and costs), damages and/or injury to property and persons (including death) as a result of the negligent acts, errors or omissions of each party and their respective employees, agents, representatives and contractors.

8.5. Força Major

The Company’s failure to perform any term or condition of our contract as a result of conditions beyond its control such as, but not limited to, war, strikes, fires, floods, acts of God, governmental restrictions, power failures, or damage or destruction of any network facilities or servers, shall not be deemed a failure to perform their part of the hire agreement.

8.6. Danys a Persones i Propietats

Subject to 8.3. above l’Empresa shall not be liable for any loss other than that which directly arises from any injury to persons or damage to tangible property where and only to the extent that such injury or damage is caused by any defects in l’Equip and where such defect is caused by the negligence of l’Empresa

8.7. Drets Reservats

8.7.1. Any failure by l’Empresa to enforce any or all of these conditions shall not be construed as a waiver of any of l’Empresa rights hereunder

8.7.2. If any term in these conditions shall be held invalid such invalidation shall not affect the validity of the remaining terms

8.8. Termes del Contracte

These conditions have effect in substitution for and to the exclusion of any condition put forward by el Client

8.9. Entrega i Transport

8.9.1. All times quoted or stated for deliveries are approximate only shall not be liable for any delay in delivery of l’Equip howsoever caused.

8.9.2. Hire charges or sale prices do not include carriage. Any expenses incurred by l’Empresa in delivery or recovering Equipment or attempting the same will be paid by el Client

8.9.3. Where carriage charges are quoted by l’Empresa such charges will include only for the time to load or unload alongside l’Empresa vehicle at the address specified by el Client. Further time or attendance will be paid for by el Client

8.9.4 The Company reserves the right to recharge additional costs of delivery and collection including, but not restricted to, parking fines, waiting time and toll charges.

8.9.5 The Company shall not be held liable for any damage incurred to a customer vehicle when loading\unloading or for the safe and secure loading of their vehicle.

8.9.6 Where el Client makes arrangements for the delivery and collection of Equipment, el Client will be liable for loss or damage which occurs during transport of l’Equip.

8.10. Dades Personals

Personal data collected from Customers is subject to computer processing by Encore. They are recorded in el Client’s file and are essential for the processing of his order. This information and personal data are also kept for security purposes, in order to comply with legal and regulatory obligations. They will be kept as long as necessary for the execution of orders and any applicable guarantees.
The data controller is l’Empresa. Access to personal data will be strictly limited to the employees of the data controller, authorised to process it because of their functions. The information collected may possibly be communicated to third parties linked to l’Empresa by contract for the execution of subcontracted tasks, without the authorisation of el Client being necessary.

As part of the performance of their services, third parties have only limited access to the data and are obliged to use it in accordance with the provisions of the applicable legislation on the protection of personal data. Apart from the cases stated above, l’Empresa refrains from selling, renting, assigning or giving access to third parties to the data without el Client’s prior consent, unless it is forced to do so for legitimate reasons.

If the data is to be transferred outside the EU, el Client will be informed and the guarantees taken in order to secure the data (for example, adhesion of the external service provider to the “Privacy Shield”, adoption of validated protection clauses by the CNIL, adoption of a code of conduct, obtaining a CNIL certification, etc.) will be specified.

In accordance with applicable regulations, el Client has a right of access, rectification, erasure, and portability of data concerning him, as well as the right to oppose the processing for legitimate reasons, rights which he can exercise by contacting the data controller at their registered office. In the event of a complaint, el Client may send a complaint to the relevant authority.

8.11. Drets d’Autor

8.11.1. The Company notifies el Client that playing or showing copyright material in circumstances where el Client or anyone authorised by him does not hold the appropriate licence of the copyright holder, he will infringe copyright and may become liable in damages for so doing

8.11.2. The Customer by accepting delivery of sound or visual reproduction Equipment warrants that he has or will obtain the appropriate licence for the said performance playing or showing, prior to using l’Equip for the said purpose

8.11.3 The customer agrees to indemnify l’Empresa in respect of any claim for breach of copyright caused by the transmission, recording, broadcasting, rebroadcasting of audio and visual projection on behalf of el Client.

8.12. Confidencialitat

All quotes, contracts, plans and specifications provided by l’Empresa to el Client are confidential and are not to be passed to any third party for a competitive bid or any other purpose.
